My Private Practice

Welcome to My Private Practice (“MPP,” “we,” “our,” or “us”), a platform developed by Be & Me that provides administrative workflow tools, scheduling, communication infrastructure, AI-assisted administrative support, and optional AI-assisted clinical documentation support for therapists and mental health professionals.

By accessing or using My Private Practice, you agree to these Terms of Service (“Terms”).

If you do not agree to these Terms, do not use the platform.

1. Eligibility

You may use My Private Practice only if:

  • You are at least 18 years old
  • You are legally authorized to practice in your jurisdiction if using professional features
  • You provide accurate and complete registration information
  • You comply with all applicable laws, regulations, licensing rules, and ethical obligations

Certain features are available only to licensed professionals with verified credentials.

2. Nature of the Platform

My Private Practice is a technology platform designed to support private practices through:

  • Scheduling and calendar management
  • Administrative workflow automation
  • Secure messaging
  • Billing and Superbills
  • Document generation
  • AI-assisted administrative support
  • Optional AI-assisted clinical documentation assistance
  • Prescription management for authorized prescribers
  • Productivity and operational tools

MPP is not:

  • A healthcare provider
  • A crisis service
  • An emergency response system
  • A medical practice
  • A replacement for professional judgment
  • A substitute for therapy, diagnosis, or treatment

3. AI Assistance Disclaimer

MPP includes AI-powered tools, including an Administrative Agent and optional Clinical Agent.

3.1 Administrative Agent

The Administrative Agent assists with administrative workflows including scheduling, reminders, communications, billing support, and task management.

The Administrative Agent:

  • Operates only within permissions configured by the therapist
  • Does not provide clinical advice
  • Does not interpret clinical information
  • Does not make treatment decisions
  • Does not access stored clinical records

3.2 Clinical Agent

The Clinical Agent is strictly assistive. It is never autonomous.

The Clinical Agent:

  • Assists with structuring documentation
  • May pre-fill information already available in the system
  • Requires mandatory therapist validation before use
  • Does not diagnose
  • Does not make treatment decisions
  • Does not replace professional judgment

You remain fully responsible for:

  • Clinical decisions
  • Diagnoses
  • Treatment planning
  • Prescriptions
  • Patient care
  • Documentation accuracy
  • Compliance with professional obligations

4. No Emergency Services

MPP is not monitored for emergencies.

DO NOT use the platform for:

  • Suicidal crises
  • Medical emergencies
  • Immediate danger situations
  • Emergency communications

In an emergency:

  • Call 911
  • Contact local emergency services
  • Contact 988 Suicide & Crisis Lifeline in the United States

Any alerts or notifications generated by the platform are assistive only and do not create any monitoring obligation by MPP.

5. HIPAA and Compliance

MPP is designed to support HIPAA-ready workflows.

However:

  • You remain responsible for your own legal and regulatory compliance
  • Your obligations under HIPAA, HITECH, state law, licensing boards, and professional ethics remain your responsibility
  • Using MPP does not guarantee compliance
  • You are responsible for configuring the platform appropriately

Where applicable, MPP may enter into a Business Associate Agreement (“BAA”).

6. Data and Privacy

Your use of the platform is also governed by our Privacy Policy.

6.1 Data Ownership

You retain ownership of your content and patient data.

6.2 Limited Platform Rights

You grant MPP limited rights necessary to:

  • Operate the platform
  • Process data for platform functionality
  • Provide technical support
  • Maintain security and reliability

6.3 AI Data Handling

Clinical data is never used to train public AI models.

Administrative processing follows strict minimization and separation principles.

7. Communications and Consent

You are responsible for obtaining all legally required patient consents related to:

  • Communications
  • SMS notifications
  • Telehealth
  • Care coordination
  • AI-assisted workflows
  • Information sharing
  • Releases of information

MPP may send notifications and communications on your behalf based on your settings.

8. Billing and Payments

MPP may integrate with third-party payment processors such as Stripe.

You are responsible for:

  • Taxes
  • Billing accuracy
  • CPT code selection
  • Insurance compliance
  • Financial records
  • Refund obligations

Payment processor terms also apply.

9. Prescription Features

Prescription and e-prescribing features are available only to authorized prescribers.

You are solely responsible for:

  • Prescribing decisions
  • DEA compliance
  • PDMP compliance
  • Controlled substance compliance
  • Prescription accuracy
  • Clinical appropriateness

MPP does not practice medicine or pharmacy.

10. Availability and Service Changes

We may:

  • Modify features
  • Add or remove functionality
  • Perform maintenance
  • Update integrations
  • Suspend portions of the service

We do not guarantee uninterrupted availability.

Some features may be beta, experimental, region-specific, or dependent on third-party services.

11. Third-Party Services

MPP may integrate with third-party providers including:

  • Stripe
  • Twilio
  • Anthropic
  • E-prescribing vendors
  • Calendar providers
  • Email providers
  • SMS providers

Your use of those services may also be subject to their terms and privacy policies.

MPP is not responsible for outages or failures caused by third-party providers.

12. Acceptable Use

You agree not to:

  • Use the platform unlawfully
  • Misrepresent your identity or credentials
  • Attempt unauthorized access
  • Upload malware or harmful code
  • Interfere with platform security
  • Use the platform for spam or abusive communications
  • Reverse engineer the platform
  • Use AI outputs without professional review where required

13. Intellectual Property

MPP, including its software, branding, workflows, interface designs, and documentation, is protected by intellectual property laws.

You may not:

  • Copy
  • Redistribute
  • Reverse engineer
  • Resell
  • Create derivative works

without written permission.

14. Suspension and Termination

We may suspend or terminate access if:

  • These Terms are violated
  • Use creates legal or security risks
  • Fees remain unpaid
  • Fraudulent or abusive behavior is detected

You may stop using the platform at any time.

Certain legal obligations survive termination.

15. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MPP DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY

We do not guarantee:

  • Clinical outcomes
  • Billing outcomes
  • Insurance reimbursement
  • Regulatory approval
  • Error-free AI outputs

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MPP SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS
  • LOSS OF DATA
  • BUSINESS INTERRUPTION
  • CLINICAL DECISIONS
  • MALPRACTICE CLAIMS
  • REGULATORY ACTIONS
  • INSURANCE CLAIM DENIALS

Our total liability shall not exceed the amount paid to MPP during the 12 months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless My Private Practice, Be & Me, its officers, employees, contractors, and affiliates from claims arising from:

  • Your professional services
  • Your use of the platform
  • Your violation of law
  • Your violation of these Terms
  • Clinical decisions or patient care

18. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles.

Any disputes shall be resolved in the appropriate courts located in Texas unless otherwise required by law.

19. Changes to These Terms

We may update these Terms periodically.

Continued use of the platform after updates constitutes acceptance of the revised Terms.
